Disclosure Policy

Basic Policy on Disclosure of Information

We have established the following policy to ensure that appropriate disclosures are made. This policy also applies to the Regil Group.

The Company manages and discloses important information, including information on decisions, occurrences, and financial results that may affect investment decisions, in accordance with applicable laws and regulations (including the Fair Disclosure Rules stipulated in the Financial Instruments and Exchange Act) and the "Rules on Timely Disclosure of Corporate Information by Issuer of Listed Security and the Like" (hereinafter referred to as the "Timely Disclosure Rules") stipulated by the Tokyo Stock Exchange. (hereinafter referred to as the "Rules on Timely Disclosure of Corporate Information by Issuer of Listed Securities").
The Company manages the disclosure system based on the "Timely Disclosure Rules" formulated in accordance with the above-mentioned related laws and regulations and the Timely Disclosure Rules, and maintains a response manual and other relevant documents.
We will disseminate information in a timely, appropriate, and fair manner, even if such information is not required by law or regulation, if we believe that such information may have an impact on our corporate value.

Methods of Information Disclosure

The Company discloses information required to be disclosed by the timely disclosure rules of the Tokyo Stock Exchange (TSE) through the TSE's Timely Disclosure Network (TDnet) in accordance with the TSE's timely disclosure rules.
In principle, the same information registered and disclosed in the system will also be promptly posted on the Company's website.
In addition, even if the information is not required to be disclosed under the Timely Disclosure Rules, we will endeavor to disclose information that is useful for shareholders and investors to deepen their understanding of our company in a positive and fair manner by posting it on our website or by other appropriate means.

Handling of Insider Information

We will immediately disclose in an appropriate manner any undisclosed material facts or material information that could have a significant impact on the valuation of our corporate value, if such information is disclosed only to certain third parties.
In addition, the Company has established internal rules for the prevention of insider trading ("Regulations for Prevention of Insider Trading"), and strives to appropriately manage information on important matters that may affect investment decisions and prevent insider trading by all Group officers and employees.

Silent Period

In order to prevent leaks of financial information and ensure fairness in the disclosure of information, the period from the day following the settlement date to the announcement of financial results is designated as a silent period for IR activities. During this period, in principle, we refrain from making comments or answering questions regarding financial results. However, if during this period a fact that requires timely disclosure arises, or if actual results are expected to differ significantly from forecasts and need to be announced, we will disclose such information in accordance with the Timely Disclosure Rules.
