(headquartered in Chiyoda-ku, Tokyo; Yasuzumi Tanji, President; hereinafter "the Company"), whose mission is "to make decarbonization an intractable problem," has reached an agreement with Bay Communications Corporation (headquartered in Osaka City, Osaka Prefecture; Ikuo Takema, President; hereinafter "Baycom") to acquire the condominium high-voltage bulk power service business operated by Baycom. (headquartered in Osaka City, Osaka; Ikuo Takema, President & CEO; hereinafter "Baycom") have agreed on the transfer of the condominium high-voltage bulk power receiving service business operated by Baycom, and have concluded a "Basic Agreement on Transfer of Business Assets" (hereinafter "Basic Agreement on Transfer"). As of the end of February 2025, the number of condominiums serviced by Baycom is 35, and we plan to take over all of them upon the transfer of this business.
We have positioned the condominium high-voltage bulk power distribution service, which we launched in 2004, as our core business. This service is an important business that contributes to the realization of a decarbonized society by providing customers with economic value in the form of reduced electricity costs and curbing CO2 emissions by optimizing energy use efficiency through energy management and control. Since economies of scale are at play in our business operations, we believe that expanding the number of units installed will lead to increased value for our customers, and we are actively pursuing mergers and acquisitions, including the acquisition of businesses from other companies, in addition to our normal sales activities for our customers.
This transaction was realized as a result of the agreement between the Company and Baycom on a policy to further enhance the value provided to customers.
Based on the Basic Agreement on Transfer, we plan to proceed with the process of transferring the business in stages, focusing on communication with customers and other stakeholders, and expect to complete the various procedures by the end of September 2026.
We will continue to strengthen our business foundation through a variety of initiatives and build our "distributed energy platform" as we aim to stabilize energy throughout Japanese society and realize a decarbonized society without psychological and financial burdens.
